The decision follows months of internal disagreement within the board of Tata Sons regarding a proposed five-year extension for his leadership. The announcement has caused a decline in the share prices of listed Tata companies.

Boardroom Discord and Governance

Chandrasekaran stated that when his extension was first proposed in February, at least one board member did not support it. He chose to defer the decision at that time, but noted that no resolution had been reached six months later. Reports indicate that board members have disagreed on matters including funding approvals, board nominations, and the potential public listing of Tata Sons. The Tata Group maintains a unique structure where the charitable organization Tata Trusts owns 66% of the parent company, Tata Sons. While this structure provides tax and regulatory benefits, experts have pointed to potential governance issues arising from the group's dual non-profit and commercial objectives.

Leadership Transition

Chandrasekaran has served as chairman since 2017, when he succeeded the late Cyrus Mistry. Prior to his current role, he served as the CEO and managing director of Tata Consultancy Services and has been with the group since 1987. Independent market analyst Ambareesh Baliga noted that while the market reaction has been negative, the group has a six-month window to identify a successor, likely from within the organization.
